WHY THIS MATTERS

Do not wait for a dispute to defend your standing.

AFRINIC’s resource members pay for the institution and depend on its decisions. NRS’s position is that their entitlement to company membership should be recognised in the statutory register and the corresponding official records. An internal membership category should not erase that entitlement.

AFRINIC is a company limited by guarantee without share capital. Section 269 of the Mauritius Companies Act applies relevant shareholder provisions to members, with exclusions and necessary modifications. NRS is asking every Resource Member to put its own claim on record.

The rules are being contested. Put your company’s position in writing now.

MEMBERSHIP WITH LEGAL WEIGHT

Assert the shareholder protections that apply to members.

These are practical ways to hold a company accountable. Each is subject to the Act’s requirements and your company’s entitlement.

01

Inspect the records

Seek access to specified meeting records, member communications and other company records through the statutory inspection process.

Sections 226–228 ↗
02

Enforce the rules

Ask the court to require action that the Companies Act or the company’s constitution requires.

Section 176 ↗
03

Challenge unfair treatment

Seek a court remedy for oppressive, unfairly discriminatory or unfairly prejudicial conduct.

Section 178 ↗

“Shareholder protections” here means the provisions that apply to members under section 269. AFRINIC has no share capital; this request does not seek shares or a director’s seat.

TAKE ACTION

Put your company’s claim on record.

  1. Identify your company. Use its full legal name and your authority to represent it.
  2. Review and send. Open the prepared draft or copy it into your company email.
  3. Get a written response. Ask for a reference number, confirmation and any further filing requirements.

Subject
AFRINIC — request for recognition and registration of company membership

If your email app shortens the draft, copy the complete request instead. Send it from your company account and keep the sent message and any reply.

This page prepares a request to the Registrar of Companies. Sending it does not itself enter your company in the register. The response should confirm the steps taken or specify what further evidence, filing or court order is required.

THE BASIS OF THE REQUEST

The register should reflect the members.

Section 269 treats references to shareholders as references to members and references to the share register as references to the register of members, subject to its terms. Section 91 sets out the register requirement. NRS’s campaign seeks recognition of each Resource Member’s own entitlement.
