Number Resource Society – Membership Terms
Please take the time to read and understand these Membership Terms and Conditions (Membership Terms). These Membership Terms set out the membership agreement between Number Resource Society (“NRS”) and each person and/or entity ("the Applicant") applying to be a Member of NRS.
1.0 GENERAL
Every individual, the company, and/or organization, regardless of whether it is a member of Region Internet Registry (“RIR”) or not are entitled to apply to be a member of NRS.
2.0 MEMBERSHIP
2.1 Eligibility and Applying for Members
(a) The Applicant only needs to complete a membership application and agree to the Membership Terms.
(b) The Admission Committee of NRS may request for further information from the Applicant (if necessary).
(c) Membership will start only upon completion of the membership registration and acceptance of the Admission Committee.
(d) The Applicant hereby acknowledges that the Admission Committee has discretion, to accept or reject any membership application and each membership is personal to the entity who accepted as a Member and cannot be transferred.
2.2 Membership Type ("Member")
(a) Individual Member
(b) Corporate Member
2.3 Obligations
(a) Each Member of NRS is to have the same belief whereby the internet is not to be limited, it is for everyone, everywhere in the world, regardless of geographical area and there shall not be a limitation for access to the internet.
(b) Member of NRS will act collectively and unanimously in line with the objective, mission, guide, instructions, and/or mandate of NRS and which include but are not limited to policy internet making and/or voting in line with the objectives of NRS with regard to freedom in accessing internet, internet stability, fair distribution of internet.
(c) Each Member shall act honestly, fairly, and reasonably in all matters connected with NRS. Without limiting this obligation, each Member:

Must promptly tell NRS if there is any change whatsoever to details submitted in their membership application or Member Details.

Must not attempt to transfer or otherwise deal with any Member Benefit other than in accordance with the Membership Terms.

Must not abuse or misuse any Member Benefit or use it for any inappropriate, illegal, or unlawful activity.

Must comply with any applicable acceptable use, rules of participation, or similar policy in place forusing a Member Benefit.

Must not engage in any behavior in communicating with another Member that could reasonably be interpreted as intended to bully, intimidate or harass a person.

Must not, in a forum provided by NRS, post content that could reasonably be interpreted to be defamatory, malicious, hate speech, threatening or pornographic, incite violence, or contains nudity or graphic or gratuitous violence.

Must not undertake any action that could damage the reputation of NRS.

Must not make representations on behalf of NRS without prior approval in writing.

Permits NRS such information as NRS reasonably requests (e.g., to assist us to verify eligibility for any Member Benefit).
2.4 Termination and Default
(a) Member of NRS may wish to terminate its membership at any time by giving NRS at least fourteen (14) days written notice.
(b) If a member breaches the Membership Terms and NRS may at its discretion suspend or terminate Member’s membership.
(c) NRS shall have the absolute discretion to terminate the membership of a Member at any time with prior notice to the member without assigning any reason.
(d) Member of NRS shall act collectively and unanimously as stated in Clause 2.3 (a) and (b) herein, failing which may be terminated without notice.
(e) Membership is on annual basis and will automatically renew unless the Member provides written notice to NRS not less than fourteen (14) days prior to the renewal of their intention to resign their membership.
(f) The members shall, on the termination of membership, return the benefits provided to it by NRS.
3.0 MEMBERSHIP PERKS & BENEFITS
3.1 Member Benefits as set out on the website are to be received by Network Member-only and it is subject to change and availability.
3.2 Each Member Benefit is available on the specific terms identified for that Member Benefit. If a Member selects a Member Benefit, the Member must agree to another set of terms applying to that Member Benefit.
4.0 MEMBERSHIP FEE
There is no membership fee required in order to be a member of NRS. However, NRS reserves the right to add such fee at its sole discretion with at least fourteen (14) days’ notice to the Members.
5.0 COMPLIANCE
Member agrees to abide by and shall have all applicable rights and obligations as set forth in the Privacy Policy, and all additional policies and procedures adopted by NRS, as any of these may be amended from time to time.
6.0 WARRANTIES
6.1 Any person entering into this Agreement on behalf of Member hereby represents, warrants, and covenants to NRS that:
(a) it has the authority to enter into this Agreement and to perform its obligations hereunder;
(b) the execution and performance of this Agreement does not and will not violate any agreement to which the Member is a party or by which it is otherwise bound; and
(c) when executed and delivered, this Agreement will constitute a legal, valid, and binding obligation of the Member, enforceable according to its terms.
7.0 LIMITATION OF LIABILITY
In no event will nrs be liable to member or to any other member or third party under this agreement for the cost of procuring substitute goods or services, lost profits, lost revenue, lost sales, loss of use, loss of data or any incidental, consequential, direct, indirect, punitive, or special damages, whether or not such party had advance notice of the possibility of such losses or damages. except for where it is required by applicable law, or as otherwise agreed in writing.
8.0 USE OF CONTENT
Intellectual property rights in the content posted on forums and on the NRS’s Website are owned by NRS. As a Member of NRS, you have the right to use the content but are restricted from redistributing it to any other medium, forum, or website for whatever reason unless it is expressly authorized by NRS.
9.0 CONFIDENTIALITY
9.1 Member agrees to the following obligations of confidentiality with respect to this Agreement:
(a) To maintain all information received in confidence, using the same degree of care the Member uses to protect its own proprietary information of importance, but in no event less than a reasonable degree of care. Information disclosed shall be kept confidential to Members only.
(b) To disclose information only to its employees and agents of the Member with a need to know and to require each such employee or agent to comply with the confidentiality terms set out in this Agreement.
(c) To maintain all information relating to the negotiation, provisions, transactions, or subject matter of this Agreement (or any document referred to in it); or
(d) That the provisions set out in this Agreement shall not apply to Information which:

Is or become a part of the public domain.

Is demonstrably known to the Member prior to disclosure.

Is required to be disclosed pursuant to the judicial or governmental ruling, order or decree, provided that Member takes reasonable steps to notify NRS in advance of such disclosure to afford the NRS the opportunity to seek a protective order or contest the appropriateness of such ruling, order or decree, and the Member shall, to the extent legally permissible, furnish only that portion of the Confidential Information that is the subject of such ruling, order or decree. If failing the entry of a protective order, the Member is, in the opinion of its counsel, compelled to disclose Confidential Information, the Member may disclose that portion of the Confidential Information that NRS’s counsel advises that the Member are compelled to disclose and will exercise reasonable efforts to obtain assurance that confidential treatment will be accorded to that portion of the Confidential Information that is being disclosed. In any event, the Member will not oppose action by the NRS to obtain an appropriate protective order or other reliable assurance that confidential treatment will be accorded to the Confidential Information.
9.2 The provisions of this Clause 9 shall survive suspension and termination of this Agreement without limitation of time.
10.0 COMPLETE AGREEMENT; NO WAIVE.
This Agreement, including all attachments, sets forth the entire understanding of NRS and Member and supersedes all prior agreements and understandings relating hereto unless otherwise stated in this Agreement. The waiver of any breach or default will not constitute a waiver of any other right hereunder or any subsequent breach or default.
11.0 LOGOS AND NAMES
Member consents to NRS’s use of its name and logo once it is registered as a member of NRS for the purposes of press releases and NRS’s client list (which may be published on its website, in printed materials, or displayed in the NRS’s facilities).
12.0 AMENDMENT
All amendments to this Agreement shall be effective upon their stated effective date. Member shall be given at least seven (7) days prior written notice of the effective date of an amendment to this Agreement.
13.0 NOTICES AND COMMUNICATION
Unless NRS determines that another means of communication is more appropriate, NRS may communicate with the Applicant and/or Member using email sent to the email address provided by the Applicant and/or Member in Member Details. The Applicant and/or Member should communicate with NRS using the applicable contact details on the NRS website.
14.0 GOVERNING LAW
This Agreement shall be construed according to the law of Nigeria. If any claim or dispute between the parties is not resolved by good faith negotiations, any suits or proceedings pursued by either party shall be brought to the courts of Nigeria.
Network Members Terms and Conditions
Number Resource Society – Membership Terms
These Membership Terms set out the membership agreement between Number Resource Society (“NRS”) and each person and/or entity ("the Applicant") applying to be a Network member of NRS.
1.0 GENERAL
Every individual, the company, and/or organization, regardless of whether it is a member of Region Internet Registry (“RIR”) or not are entitled to apply to be a member of NRS.
2.0 MEMBERSHIP
2.1 Eligibility and Applying for Membership

In order to be a Member of NRS, the Applicant must complete a membership application and agree to the Membership Terms.

In order to assess if the Applicant meets the eligibility criteria, the Admission Committee of NRS may require the Applicant to provide further information to support its application.

NRS has the discretion, acting reasonably, to accept or reject any membership application.

Upon the acceptance of the Applicant membership application by the Admission Committee, membership willnot start until the Applicant completes all required membership registration requirement.

Membership is personal to the entity who is accepted as a member and cannot be transferred.
2.2 Membership Type
(a) Individual Member

2.3 Obligations

2.4 Termination of membership
(a) Member of NRS may wish to terminate its membership at any time by giving NRS at least fourteen (14) days written notice.
(b) If a Member breaches the Membership Terms and NRS, acting reasonably, considers that it is a serious breach, then NRS may at its discretion either give the Member a warning, suspend the Member's membership for a period or terminate the Member’s membership.
(c) NRS shall have the absolute discretion to terminate the membership of a Member at any time with prior notice to the member without assigning any reason.
(d) Member of NRS shall act collectively and unanimously as stated in Clause 2.3 (a) and (b) herein, failing which may be terminated without notice.
(e) Membership is on an annual basis and will automatically be renewed unless the Member provides written notice to NRS not less than fourteen (14) days prior to the renewal of their intention to resign their membership.
(f) The members shall, on the termination of membership, return the benefits provided to it by NRS.
3.0 MEMBERSHIP PERKS & BENEFITS

5.0 COMPLIANCE
